BUS 7380 Business Ethics and Corporate Governance (3 units)
A manager in an organization must be familiar with the mechanics of corporate governance, both from the ethical and legal standpoints. This course is designed for students without a legal background, providing a basic understanding of corporate governance (CG), related business ethics, and the legal framework of companies in Hong Kong. This includes a critical insight in various CG codes from some major financial centres. The ethical component will help business executives solve various ethical dilemmas commonly encountered in their daily jobs and develop insights into corporate social responsibility. The legal component consists of board of directors' composition, appointment, meetings, duties, disqualification and removal; protection of shareholders, temporary and permanent cessation of business.
