This course aims to provide students with an understanding of the fundamental principles of company law including, the regulatory framework of Hong Kong company law, the formation of company, records and reporting, equity and debt financing, the role of the board of directors and company secretary, management and general meeting, takeover and restructuring, receivership and liquidation (including corporate rescue). The focus of the course is Hong Kong company law but where appropriate company law of other jurisdictions will be discussed.
