ACCT7630 Business and Company Law (3 units)

This course provides students with an understanding of the overall legal framework in which businesses in Hong Kong operate to enable them to analyse and apply the relevant laws and principles applicable to business problems. It starts with an introduction to the overall legal system of Hong Kong such as the court system and sources of law. It then leads into the area of the law of obligations including contract and tort, which underpin business transactions generally. The course then provides a detailed discussion on the Hong Kong company law, which includes the formation and constitution of companies, the financing of companies and types of capital, and the day-to-day management, the administration and regulation of companies and legal aspects of insolvency and takeovers. It also covers a range of specific legal areas relating to various aspects of business, such as laws relating to employment, consumer protection and agency.
